This Non-Disclosure Agreement (the "Agreement") is entered into and made effective on 14 March 2024 (the "Effective Date") by and between the parties identified below:
Meridian Group Ltd ("Disclosing Party")
and
COAIr Ltd ("Receiving Party")
(together, the "Parties")
The duties of confidentiality imposed by this Agreement shall continue for three (3) years from the Effective Date, at which time they automatically terminate unless extended in writing.
Confidential Information covers all non-public technical and commercial materials shared between the Parties during the pilot, in any form — written, spoken, or electronic.
The obligations above shall not apply to information that (a) was already public at the time of disclosure, (b) becomes public without breach by the Receiving Party, (c) was lawfully known to the Receiving Party from another source, or (d) was independently developed without reliance on Confidential Information.
This Agreement is governed by the laws of England and Wales. The Parties accept the exclusive jurisdiction of the courts of London for any dispute arising in connection with it.
IN WITNESS WHEREOF, the Parties have signed this Agreement as of the Effective Date.
